I know he was voted against during a share holder meeting this year, but what exactly did that do? I still see him in charge of everything... Does he have to step down or get replaced within a year or anything or does he get to continue being dictator of Disney?
The result, if I am not mistaken, is that he'll be finishing out his term then "stepping down"

Who's going to replace him? If I had say in it, I would vote for Steve Wynn. The guy has made Vegas what it is today, just think what he could do with Disney. He's building a new 2 billion dollar hotel thats going to make all other hotels on the strip look like a shack.
JMO...
I vote for Roy Disney being able to punch Eisner in the gut on live TV.

Since the board members were all running unopposed (no alternate slate of directors had been proposed), the "no confidence" vote at the shareholder meeting was purely symbolic. Neither Eisner nor the board were required to take any action whatsoever as a result of it.
Following the vote, the Board did take the action of removing Eisner from the position of Chairman of the Board and replacing him with George Mitchell. Eisner still remains as the CEO of the company, though. Traditionally at Disney, both of those titles have been held by a single person, but companies today are generally being encouraged to split those roles, making that a fairly obvious action for Disney to take. The CEO is generally the day-to-day operational head of the company while the Chairman leads the Board of Directors.
At this point, it is generally expected that Eisner will retire at the end of his current contract, which expires in 2006. It is also possible that the board may be seeking a suitable replacement that could step in earlier, but there really is no way to tell for sure. It is also possible that Roy Disney and Stanley Gold (or any other group of shareholders) may propose an alternate slate of directors for the shareholders to vote on at the 2005 shareholder meeting. If they were successful at getting their own slate elected, certainly the expectation would be that Eisner would be replaced at that point.

Also, by replacing Eisner with Mitchell as Chairman, they are trying to deflect and recast the no-confidence vote as a corporate governance vote objecting to Eisner holding both positions, rather than the "get him out completely" vote that it appeared to be.

Feel free to do so, but make sure you buy some stock if you don't already own any. There is no point at all to travelling to the shareholder's meeting if you aren't a shareholder...
